Acceptance of Terms

These Terms of Service create a binding contract between you and Murcul Inc, (“GitStart,” “we” and “us”). By using our Services in any way, you agree to these Terms, which include both this document and our Privacy Policy (https://gitstart.com/privacy-policy).

Basically - By using GitStart you agree to all the terms below.

Your Agreement with GitStart

The “Service” refers to all websites, software, and services offered by GitStart, including our websites, blog, API, and related services. “Customer Source Code” means any code you share with us and code we generate for you. “GitStart Content” refers to materials we create to provide and improve our Service.

We may update these Terms periodically. Continued use of the Service after changes indicates your acceptance of the updated Terms. You may terminate your account if you don’t agree to changes.

Basically - These terms define our working relationship. We may update them, and your continued use means you accept any changes.

Your Account

  • Accounts must be created and used by humans, not automated systems
  • You must be at least 13 years old to use the Service
  • You may not use the Service if you are subject to sanctions or located in a sanctioned jurisdiction under US, EU, UK, or other applicable laws

Basically - You must be a human, at least 13 years old, and not subject to sanctions to use our Service.

Use of the Service

  • Provide accurate information when registering
  • Secure your account credentials and take responsibility for account activity
  • Comply with all applicable laws and regulations
  • Do not interfere with or disrupt the Service
  • Respect service limits and quotas

Basically - Use our services responsibly and respectfully.

Work Review and Approvals

You agree to review and respond to work submitted by GitStart in a timely manner. This includes:

  • Reviewing work proposals and deliverables within a reasonable timeframe
  • Providing clear feedback on submitted work
  • Taking definitive action on Pull Requests by either:
    • Approving and merging the work
    • Requesting specific changes
    • Declining the work with a clear explanation

Timely review and response are essential to maintain efficient workflow and ensure the quality of deliverables.

Basically - You need to regularly review and respond to our work to keep projects moving forward. We can only deliver efficiently when you provide timely feedback and approvals.

Fees and Billing

  • GitStart charges for its services according to the pricing plan agreed upon during signup or as subsequently modified.
  • All charges are based on GitStart’s measurement of your service usage as defined in your agreement.
  • Payment is required using the payment method you provide, which will be automatically charged according to your billing cycle.
  • All payments are non-refundable unless otherwise specified in a separate written agreement.
  • Fees do not include taxes, levies, or duties imposed by taxing authorities, which are your responsibility.
  • You authorize GitStart to share payment information with payment processors and other service providers as necessary to process transactions and manage your account.

Basically - The Service is not free. Your payment method will be charged automatically according to your usage and billing cycle. You’re responsible for any applicable taxes.

Cancellation and Termination

  • You may cancel your account at any time by contacting our Client Success team.
  • No refunds will be issued upon cancellation except as specifically provided in a written agreement.
  • Upon cancellation, you must revoke GitStart’s access to your code repositories.
  • Following cancellation, GitStart will remove access to your data and delete any stored copies of your code within a reasonable timeframe.
  • GitStart may terminate your account for violations of these Terms or for extended periods of inactivity.

Basically - You can cancel anytime by contacting us. There are typically no refunds. Your data will be removed from our systems after cancellation.

Confidentiality

If we have a separate nondisclosure agreement, those terms apply. Otherwise, GitStart will:

  • Protect your confidential information, including technology, business plans, and customer information
  • Not disclose your confidential information to third parties unless it becomes publicly available through no fault of GitStart
  • Use your information only to fulfill our service obligations
  • Return or destroy confidential information upon request or when our agreement ends
  • Recognize that your confidential information remains your exclusive property

Basically - We protect your confidential information and only use it to provide our services.

Customer Source Code

  • You retain all ownership and rights to your source code
  • You are responsible for configuring appropriate access permissions
  • GitStart has no ownership claims over your code
  • You are responsible for securing your code and properly configuring access controls

Basically - Your code remains yours. You control access to it and are responsible for its security.

Intellectual Property Rights

All deliverables created by GitStart for you become your exclusive property. This includes all work created during any trial or proof of concept phase. These deliverables are considered “work made for hire” under US Copyright law, with all intellectual property rights assigned to you.

Basically - You own everything we create for you.

Ideas and Feedback

When you submit ideas or feedback about our Service, you do so without restriction. GitStart may use these ideas without compensation and is not bound by confidentiality for such submissions.

Basically - We appreciate your feedback and may use your suggestions to improve our service without compensation.

Modification of the Service

  • The Service may change over time, including functionality, security, and features
  • GitStart will provide at least 30 days’ notice before changes to fees or payment policies
  • GitStart is not liable for service modifications, price changes, or service interruptions

Basically - We’ll notify you about billing changes in advance. Other aspects of the Service may change without prior notice.

Use of Artificial Intelligence Tools

GitStart uses AI tools to enhance our services, including for code review, suggestions, and ticket management.

  • You acknowledge GitStart may use AI tools as part of service delivery
  • GitStart maintains data confidentiality and doesn’t use your data to train AI models
  • We’ll provide information about our AI tools upon request
  • We use AI ethically and in compliance with relevant regulations
  • GitStart may change its AI tools as technology evolves
  • GitStart is not liable for issues arising from AI tool use within the scope of our services

Basically - We use AI tools to help deliver better services while protecting your data.

GitStart Content and Licensing

GitStart Content (excluding your source code) is protected by copyright and other intellectual property laws. We grant you a limited license to use our software solely to access the Service as permitted by these Terms.

Open-source components we use may have separate licenses that govern their use. Those licenses supersede these Terms for those specific components.

Basically - Our content and software are protected by copyright. You can use them only as needed to access our services.

Our Service may link to other websites or services that we don’t control. We’re not responsible for these third-party sites or any issues arising from your use of them. When you follow links to other sites, you’re subject to their terms and policies.

Basically - You use third-party links at your own risk. We’re not responsible for external sites.

Disclaimers of Warranties

The Service is provided “as is” without warranties of any kind. GitStart does not guarantee that the Service will meet your requirements, be uninterrupted, secure, or error-free. We disclaim all warranties including merchantability, fitness for purpose, and non-infringement.

Basically - We strive to provide excellent service, but we don’t make guarantees about performance, availability, or results.

Limitations on Liability

Your sole remedy for disputes is to cancel your account. Our maximum liability is limited to the greater of: (a) the total amount you paid for the service or (b) $100. We are not liable for indirect, special, consequential, or exemplary damages arising from use of the Service.

Basically - If you’re dissatisfied, you can cancel your registration. Our financial liability is strictly limited.

Mutual Indemnification

GitStart will defend and indemnify you against claims arising from our negligence or allegations that our services infringe third-party intellectual property rights.

You will defend and indemnify GitStart against claims arising from your breach of these Terms, violation of applicable laws, or allegations that your code infringes intellectual property rights.

Basically - Each party is legally responsible for their own actions and content.

Choice of Law and Dispute Resolution

These Terms are governed by California law. Disputes will be resolved through binding arbitration in San Francisco, California, under American Arbitration Association rules. All disputes must be resolved individually, not through class actions.

Basically - Any legal disputes will be resolved under California law through arbitration in San Francisco.

  • These Terms constitute our entire agreement
  • Invalid provisions will be interpreted to reflect the original intent
  • Failure to enforce any provision is not a waiver of rights
  • Force majeure events excuse non-performance
  • GitStart may assign this agreement during company reorganization or acquisition

Basically - These are standard legal provisions that protect both parties and define how our agreement works.
